These Terms of Service govern all services provided by Baldwin & Co., operated by Kate Baldwin ("we," "us," or "our"). By submitting an inquiry, signing a proposal, or engaging our services, you agree to these terms.
Baldwin & Co. provides brand strategy, brand identity design, website design and development, messaging development, content creation, digital visibility services, community management, and related creative services. The exact scope, deliverables, timeline, and applicable service terms for each engagement are defined in a written proposal or agreement before work begins. No scope expands or changes without written agreement from both parties.
One-Time Projects. Unless otherwise stated in the written proposal, one-time website, branding, and creative projects are generally structured as 50% due at signing and 50% due upon completion and approval. Work begins after the required initial payment is received. Final deliverables, applicable credentials, and website launch or transfer are provided according to the payment terms stated in the signed proposal.
Ongoing Services. Monthly content, visibility, community management, and other ongoing services are billed according to the schedule and terms stated in the client's written proposal or service agreement. The specific start date, payment schedule, scope, renewal terms, and cancellation terms for an ongoing engagement will be defined in that agreement. Website ownership is independent of any optional ongoing Baldwin & Co. content or visibility services — a website project does not require an ongoing services agreement.
Each engagement includes a defined number of revision rounds as specified in your proposal. Revisions must be submitted in organized, consolidated rounds — not piecemeal. Requests that fall outside the agreed scope may be quoted as additional work.
Upon receipt of full payment, you receive full ownership of all final deliverables created for your project — including brand files, website files, and written content developed on your behalf. This does not include third-party software, licensed fonts, stock photography, website platforms, plugins, or other third-party assets that may be incorporated into your project, which remain subject to their own applicable licenses. Baldwin & Co. retains the right to display completed work in our portfolio unless you request otherwise in writing.
Timely project completion depends on your participation. You are responsible for providing content, feedback, and approvals within agreed timelines. Delays caused by late content or feedback may affect the project schedule. We are not responsible for project delays caused by the client side.
We treat all information shared during an engagement as confidential. We do not share your business information, strategies, or materials with third parties outside those necessary to complete your project.
Baldwin & Co. is not liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability in any matter is limited to the amount paid for the specific engagement in question.
These terms are governed by the laws of the State of Florida. Any disputes will be resolved in Monroe County, Florida.
